Terms of Service

These Terms and Conditions (“Agreement”) govern your use of the AMFAS Membership Portal (“Portal” or “Website”) provided by A Mind For All Seasons LLC d/b/a AMFAS (“Company”). By accessing or using the Portal, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree to these terms, you should not use the Portal.

IMPORTANT – PLEASE CAREFULLY READ AND UNDERSTAND THESE TERMS AND CONDITIONS OF USE & SALE BEFORE ACCESSING, USING, OR SUBSCRIBING OR PLACING AN ORDER OVER WWW.AMINDFORALLSEASONS.COM OR ANY OTHER SITES WHICH LINK TO THESE TERMS.

Section 1 - Membership Access

1.1 AMFAS Membership:

• The AMFAS Membership provides access to the Healthy Foundations recorded course, online office hours, weekly live masterclasses, a 20% discount on supplements, and discounted telehealth appointments.
• Telehealth appointments are charged at $200 per hour, which includes consult time, documentation time, prescription call-ins, and any other related time spent.
• The membership fee is $25 per month, auto-deducted monthly, with no contract. Members can cancel anytime before the next payment is processed, but once a payment is processed, cancellation will only apply to future payments. There are no refunds for partial months.

1.2 Initial Labs and Roadmap:

• Members may purchase the “Initial Labs and Roadmap” package for $2500. This includes comprehensive lab work, a cognitive assessment, a health history questionnaire, and a 60-minute 1:1 roadmap review with our team. Upon completion, clients will receive a physical document called The Enhance Roadmap Report, which provides a personalized action plan based on their results.
• For new customers who purchase the Initial Labs and Roadmap as their first transaction, the purchase includes 2 months of the AMFAS Membership free of charge. After 90 days, membership will automatically convert to the $25 monthly AMFAS Membership.
• Existing members who have already paid the $25 AMFAS Membership fee prior to purchasing the Initial Labs and Roadmap will not be eligible for the 2-month exclusion period and will pay the full $2500 fee during their membership.

1.3 Updated Labs and Roadmap:

• The “Updated Labs and Roadmap” package is available to clients who have previously purchased the Initial Labs and Roadmap. This package is priced at $1,999 and offers an updated roadmap based on new labs and assessments. It includes a new, updated version of The Enhance Roadmap Report. It is not available as a standalone purchase for clients who have not completed the Initial Labs and Roadmap.

1.4 Legacy and Grandfathered Pricing:

• Some members may have legacy pricing from previous offerings. AMFAS reserves the right to maintain or adjust these pricing structures on an individual basis. Clients will receive a 30-day notice of any changes that impact their membership pricing or benefits.
• For a record of the prior Terms and Conditions applicable to legacy pricing and grandfathered memberships, please refer to AMFAS Terms & Conditions Effective January 1, 2024.

Section 2 - Membership Fees and Refunds

2.1 Membership Fees:

• AMFAS Membership: $25 per month, billed automatically.
• Initial Labs and Roadmap: $2500, includes 2 free months of AMFAS Membership for new customers only.
• Updated Labs and Roadmap: $1,999, available only to those who have purchased the Initial Labs and Roadmap.
• Telehealth appointments: Billed at $200 per hour for time spent on consults, documentation, and other services related to the appointment.

2.2 Refund Policy:

• AMFAS Membership: No refunds will be provided for partial months once payment is processed. Memberships can be canceled before the next payment cycle to avoid future charges.
• Initial Labs and Roadmap: A 100% refund will be offered if no expenses have been incurred and no labs or assessments have been conducted. If labs or other services have been rendered, a refund will be provided minus the cost of those services (valued at approximately $1000).
• Updated Labs and Roadmap: Similar refund policy as the Initial Labs and Roadmap. A full refund is available if no services have been performed and no Enhance Roadmap Report has been created.

Section 3 - Intellectual Property

3.1 By becoming a member, you will have access to the membership website, including links to recordings or live events associated with your membership level. Your Portal access is unique and does not permit you to share username(s) or password(s) with others. You may not share video content, worksheets, or other intellectual property contained in your Portal without express written consent from an authorized AMFAS representative.

Section 4 - Disclaimer - Your Individual Results Will Vary

4.1 Every individual is different; therefore, individual results will vary from user to user. YOUR INDIVIDUAL RESULTS WILL VARY depending on factors unique to you, including but not limited to your diet, exercise routine, and health conditions.

4.2 AMFAS’ programs, coaching, information, and education from A Mind For All Seasons, LLC offer a comprehensive approach for cognitive enhancement and may offer hope of slowing or halting cognitive decline or improving mental health. BUT THERE IS NO GUARANTEE OF IMPROVEMENT OR SUCCESS, and A Mind For All Seasons, LLC makes no such warranty. The statements on this site have not been verified or approved by the FDA for treating any specific illness or for the purpose of slowing the cognitive decline of dementia.

Section 5 - Testimonials, Reviews, and Pictures/Videos

5.1 AMFAS may use testimonials and/or product reviews in whole or in part together with the name, city, and state of the person submitting it. Testimonials may be used for any form of activity relating to AMFAS’ services or products, in printed and online media, as AMFAS determines in its sole and exclusive discretion. Testimonials represent the unique experience of the participants and customers submitting the testimonial and do not necessarily reflect the experience that you may have using our services or products.

5.2 Additionally, AMFAS reserves the right to correct grammatical and typing errors, shorten testimonials prior to publication, and review all testimonials prior to publication or use.

Section 6 - Disclaimers of Other Warranties

EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW:
THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE MAKE NO, AND EXPRESSLY DISCLAIM ANY AND ALL, REPRESENTATIONS AND WARRANTIES.

Section 7 - Limitations of Liabilities

EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW:
IN NO EVENT SHALL AMFAS OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, TELECOMMUNICATIONS PROVIDERS, AND/OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ANY OTHER DAMAGES, FEES, COSTS OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT, THE SERVICES, OR PRODUCTS.

Section 8 - Dispute Resolution By Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS ARBITRATION PROVISION CAREFULLY TO UNDERSTAND YOUR RIGHTS. Any claim that you may have must be resolved through final and binding confidential arbitration. You agree that you are waiving the right to a trial by jury and the ability to participate in a class action.

If you have a complaint, dispute, or controversy, you agree to first contact us at info@amindforallseasons.com to attempt to resolve the dispute or controversy informally. If the dispute cannot be resolved within 120 days, it will be submitted to binding arbitration administered by the American Arbitration Association (“AAA”) in Ada County, Idaho.

Section 9 - AMFAS’ Additional Remedies

AMFAS may seek temporary restraining orders, preliminary and permanent injunctions, or other equitable relief for any breach or infringement of intellectual property.

Section 10 - Indemnification

You agree to defend, indemnify, and hold harmless AMFAS from any claims, liabilities, damages, or expenses arising out of your use, misuse, or attempted use of the Website, products, or services.

Section 11 - Notice and Takedown Procedures

If you believe that materials available on the Website infringe on your copyright, you or your agent may send a notice to AMFAS. All notices should be directed to:

Section 12 - Third-Party Links

The Website may contain links to third-party websites. AMFAS assumes no responsibility for the content or functionality of any non-AMFAS website linked on our site.

Section 13 - Termination

This Agreement will take effect at the time you first access or use the Website and remain in effect until terminated by either party. If you fail to comply with any term or provision of this Agreement, AMFAS may terminate your access without notice.

Section 14 - Governing Law and Venue

This Agreement and any disputes arising out of or related to it will be governed by the laws of the State of Idaho. All disputes will be resolved exclusively in Ada County, Idaho.

Section 15 - Force Majeure

AMFAS is not responsible for delays, damages, or failures caused by factors beyond its reasonable control.

Section 16 - Assignment

AMFAS may assign its rights under this Agreement without notice. Your rights cannot be assigned without written consent from AMFAS.

Section 17 - Electronic Signature

By using this Website, you agree that all communications between you and AMFAS will be electronic and have the same force and effect as if they were in writing.

Section 18 - Changes to the Agreement

You can review the most current version of the Terms at any time at https://www.amindforallseasons.com/terms. We reserve the right to update or change any part of this Agreement at our discretion. Your continued use of the Website constitutes acceptance of any changes.

Section 19 - Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Section 20 - Entire Agreement

These Terms, along with the Privacy Statement and any policies posted on the Website, constitute the entire agreement between you and AMFAS and supersede any prior agreements or representations.

THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES. THIS APPLIES REGARDLESS OF THE MANNER IN WHICH DAMAGES ARE ALLEGEDLY CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE.
